Korean Air, the biggest airline in South Korea, merges another major airline, Asiana Airlines. The Korea Development Bank has decided to invest 800 billion won to promote Korean Air's acquisition of Asiana Airlines. Hanjin Kal participated in Korean Air's 2.5 trillion won paid-in capital increase, and Korean Air spent a total of 1.8 trillion won to acquire Asiana Airlines' new shares (1.5 trillion won) and permanent bonds (300 billion won).
The acquisition is made by investing 500 billion won in exchangeable bonds worth 300 billion won by investing 500 billion won through a paid-in capital increase allocated to the third party to Hanjin Kal, the holding company of Korean Air, which is implemented by the KDB. Hanjin Kal will invest 730 billion won to participate in Korean Air's 2.5 trillion won paid-in capital increase to shareholders. Korean Air will promote a 3-party paid-in increase of Asiana Airlines with an amount of 1.8 trillion won. After acquiring the stock, Korean Air's stake in Asiana Airlines becomes 63.9%.
